Terms of Service

These Terms of Service (“Terms”) govern your access to and use of medplaza.com(the “Site”), operated by Medplaza, Inc. (“Medplaza,” “we,” “us”). Please read them carefully.

1. Acceptance of Terms

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site. You represent that you are at least 18 years of age and have the legal capacity to enter into this agreement.

2. Description of Site

The Site is an informational marketing website describing Medplaza and its products, including ReviewBox, Extrencity EHR, and RFA Assist. Each product is a separate offering with its own terms, agreements, and documentation. Nothing on the Site constitutes an offer to provide a specific product or service; product availability, features, and pricing are subject to separate written agreements.

3. User Obligations and Prohibited Conduct

You agree not to:

  • Use the Site for any unlawful purpose or in violation of these Terms.
  • Scrape, crawl, harvest, or otherwise extract data from the Site by automated means without our prior written consent.
  • Reverse-engineer, decompile, or attempt to derive the source code of any portion of the Site.
  • Interfere with or disrupt the Site, its servers, or networks connected to the Site.
  • Probe, scan, or test the vulnerability of the Site or breach any security or authentication measure.
  • Impersonate any person or entity or misrepresent your affiliation.
  • Use the Site to transmit malware, spam, or other harmful content.

4. Intellectual Property

All content on the Site, including text, graphics, logos, images, and software, is the property of Medplaza, Inc. or its licensors and is protected by United States and international intellectual property laws. © Medplaza, Inc. All rights reserved. No license or right is granted to you except the limited right to view the Site for your personal, non-commercial informational use.

5. Disclaimer of Warranties

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, or secure.

Nothing on the Site constitutes medical advice. The Site does not establish a clinician-patient relationship. Information about Medplaza products is provided for general informational purposes only and does not guarantee that any product will be available, suitable, or perform as described in your specific environment.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MEDPLAZA, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT MEDPLAZA HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

7. Indemnification

You agree to defend, indemnify, and hold harmless Medplaza, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Site, your violation of these Terms, or your violation of any law or the rights of any third party.

8. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Subject to the arbitration provision below, the exclusive venue for any judicial proceeding arising out of or relating to these Terms shall be the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction in those courts.

9. Dispute Resolution; Class Action Waiver

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Los Angeles County, California, in English, by a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.

YOU AND MEDPLAZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding.

10. Severability

If any provision of these Terms is held invalid or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

11. Entire Agreement

These Terms, together with our Privacy Policy and any other notices posted on the Site, constitute the entire agreement between you and Medplaza regarding the Site and supersede any prior agreements. Product-specific terms govern your use of individual Medplaza products.
