The automatic Physician WebSite Maker (herein referred to as the Software) is provided by Medplaza, Inc. and its subsidiaries (herein referred to as Medplaza). Do not use the Software or Services until you (herein referred to as the Client) have carefully read this Agreement, which provides the terms and conditions for its use. Using the Software and Services indicates that you have read, understand and accept this Agreement.

This Software and the Services are provided "as-is". Medplaza makes no warranties of any kind, either expressed or implied, for the service it is providing. Medplaza will not be held responsible for any damages the Client suffers or inflicts upon another party. This includes loss resulting from service interruptions, delays, non-deliveries or misdeliveries caused by Medplaza’s negligence or the Client's own actions and/or errors. The Client will reviewed all the material posted on the Client’s website by medplaza. Medplaza cannot and does not warrant the accuracy, completeness, timeliness, correctness, noninfringement, merchantability or fitness for a particular purpose of the information or views available through the Client’s website. The Client understands that Medplaza does not have any medical or legal expertise; the Client will hold Medplaza harmless in any medical/legal actions brought against the Client even if the action is against material produced by Medplaza. The Client has agreed to have medical/legal professionals review the site for its accuracy.

The Client agrees to review all local governing laws to avoid any restricted activities which may be imposed on services such as Medplaza. Furthermore, The Client agrees to indemnify and hold Medplaza harmless from any civil claims or criminal charges resulting from service which causes direct or indirect damage to the Client or another party or violates any law. The Client also agrees to indemnify and hold Medplaza harmless from any and all lawsuits, judgements, decrees, costs and expenses, and attorney fees arising from customer's use of services provided.

Medplaza reserves the right to refuse service to any individual or organization for any reason not prohibited by law. Medplaza also reserves the right to terminate existing service to any individual or organization for any reason not prohibited by law.   Medplaza reserves the right to change rates and otherwise modify these Terms and Conditions and will provide customer with 30 days notice in advance of the effective date of change.

This agreement represents an understanding between Medplaza and the Client with respect to the subject matter herein, and supersedes any and all previous representations, understandings or agreements, whether written, oral, or otherwise and shall prevail notwithstanding any variance with terms and conditions of any order submitted.

Should any part or provision of this document be declared invalid by any court of law or arbitration, such invalidity shall not affect the remaining terms of said regulations above, which shall continue unchanged and in full force and effect.

Use of Medplaza services constitutes acceptance of these terms and conditions.
